1. Who we are, and what this platform is
AJ Cosmo Labs LLC operates a marketplace that connects independent Clients, Chemists, Manufacturers, and Distributors. As set out in our Legal Disclaimer, AJ Cosmo Labs is not a manufacturer, formulator, chemist, or distributor of record, does not take title to any formulation or physical good, and is not a party to the underlying agreement between two users. We provide the platform, the escrow mechanism, and the dispute process.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. One person or business per account; do not share logins or impersonate another person, business, or credential you do not hold.
3. Roles
Accounts operate in defined roles — Client, Chemist, Manufacturer, Distributor, and other specialist roles. Some roles require a subscription or verification before certain features unlock. Representing yourself in a role whose qualifications you do not hold is grounds for termination.
4. Payments, escrow, and fees
Paid engagements run through escrow. When a bid is accepted, funds move from the Client's wallet or payment method into escrow, where neither side can access them. Funds release only on the dual-confirmation conditions described in the Refund Policy. AJ Cosmo Labs charges a platform service fee on completed, confirmed transactions; it is not charged on refunded steps or on disputes resolved in the Client's favor. Subscriptions purchased through the App Store are billed by Apple under their terms and are managed in your Apple account.
You are responsible for your own taxes. AJ Cosmo Labs does not provide tax, legal, or regulatory advice.
5. Your content and intellectual property
You keep ownership of your formulations, listings, and uploads. You grant AJ Cosmo Labs a limited licence to host, store, display, and transmit that content solely to operate the platform — for example, showing your listing to a buyer or delivering your formula to a Chemist you engaged. We do not claim ownership of your formulations and do not use them to compete with you.
Where a formulation is sold or transferred between users, the terms of that transfer are between those users. Confidentiality between a Client and an engaged Chemist or Manufacturer is the responsibility of those parties; the platform provides the channel, not the NDA.
The AJ Cosmo Labs name, logo, software, and site content are ours and may not be copied or used except as expressly permitted.
6. Acceptable use
The Acceptable Use Policy is part of these terms. In particular, pharmaceutical drugs, controlled substances, and unapproved or unregistered chemical substances are prohibited, and listings are automatically screened. You must not scrape the platform, attempt to bypass access controls or rate limits, reverse-engineer the service, or use it to transact off-platform in order to avoid fees.
7. Regulatory responsibility
You are solely responsible for the legality, safety, labeling, and regulatory compliance of your own formulations, products, and operations, including FDA and any other applicable cosmetics, health, or consumer-product laws where you operate or sell. We do not review formulations for regulatory compliance and do not warrant that anything on the platform complies with any particular law.
8. Disputes between users
If you disagree with another user about whether work was completed as described, open a dispute. Disputes are reviewed within 5 business days; escrowed funds for the disputed step stay frozen until it resolves. Our review is a good-faith administrative decision about the release of escrowed funds — it is not arbitration and does not prevent either party from pursuing their own legal remedies.
9. Suspension and termination
You may close your account at any time. We may suspend or terminate an account that violates these terms or the Acceptable Use Policy, that is used fraudulently, or where we are required to by law. On termination, escrowed funds are resolved under the Refund Policy before the account closes; we will not use termination to withhold funds properly owed to you.
10. Disclaimers
The platform is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, and we make no warranty about the quality, safety, legality, or performance of any formulation, service, or product offered by another user. You engage other users at your own risk.
11. Limitation of liability
To the fullest extent permitted by law, AJ Cosmo Labs is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption. Our total liability arising out of or relating to the platform is limited to the greater of the platform fees you paid us in the 12 months before the claim, or $100. Nothing here limits liability that cannot be limited by law.
12. Indemnity
You agree to indemnify AJ Cosmo Labs against claims arising from your content, your products, your regulatory compliance, or your breach of these terms.
13. Changes
We may update these terms. Material changes update the effective date above and, where significant, are notified in the app. Continued use after a change means you accept the updated terms.
14. Governing law
These terms are governed by the laws of the United States and the state in which AJ Cosmo Labs LLC is organized, without regard to conflict-of-laws rules.
